That visible supply tends to define what buyers perceive as \u201cthe market.\u201d<\/p>\n<p>But it is only one part of the market.<\/p>\n<p>Behind those listings is a much larger universe of net lease properties whose owners may be willing to sell but have not formally initiated a marketing process. Some are being discussed quietly with a select group of investors. Others are owned by investors who would entertain the right unsolicited offer. Still others may be approaching an event\u2014such as a loan maturity, lease renewal, estate-planning decision or portfolio reallocation\u2014that could create motivation to sell.<\/p>\n<p>For sophisticated net lease investors, the distinction matters.<\/p>\n<p><strong>Off-market investing is not primarily about finding properties at below-market prices. It is about gaining access to opportunities before those properties are exposed to the entire buyer universe.<\/strong><\/p>\n<h2>What Is an Off-Market Net Lease Property?<\/h2>\n<p>The term \u201coff-market\u201d is used loosely in commercial real estate.<\/p>\n<p>A property emailed to 5,000 investors but not posted on a listing platform is technically unlisted, but it is difficult to characterize it as truly off-market.<\/p>\n<p>I believe it is more useful to think about the net lease market in three categories.<\/p>\n<ol>\n<li><strong> Fully marketed properties.<\/strong><br \/>\nThe owner has made a formal decision to sell. An offering memorandum has typically been prepared, pricing expectations have been established and the property is broadly exposed to prospective buyers.<\/li>\n<li><strong> Quietly marketed properties.<\/strong><br \/>\nThe seller intends to transact but has chosen to limit exposure. A broker or advisor may approach a small group of investors believed to have a high probability of executing.<\/li>\n<li><strong> Truly off-market properties.<\/strong><br \/>\nThe owner has not formally put the property up for sale. There may be no offering memorandum, asking price or defined sales process. The owner, however, may be willing to sell if approached with the right combination of price, terms and certainty of closing.<\/li>\n<\/ol>\n<p>This third category represents an enormous potential acquisition universe.<\/p>\n<p>Only a fraction of the nation\u2019s single-tenant properties are formally offered for sale at any given moment. The balance still has owners\u2014and some percentage of those owners would consider selling under the right circumstances.<\/p>\n<p>That is the opportunity.<\/p>\n<h2>Does Off-Market Mean Below-Market Pricing?<\/h2>\n<p>No.\u00a0This may be the biggest misconception surrounding off-market net lease properties.<\/p>\n<p><strong>Off-market does not necessarily mean below market.<\/strong><\/p>\n<p>Experienced property owners generally have access to enough market information to understand the approximate value of their real estate. Recent comparable sales, cap-rate information and brokerage market intelligence have made price discovery increasingly efficient.<\/p>\n<p>The more important advantage is reduced competition.<\/p>\n<p>Consider a high-quality net lease asset with strong underlying real estate, a creditworthy tenant, long remaining lease term and favorable rental increases. If that property is broadly marketed, it may attract significant interest from private investors, family offices, 1031 exchange buyers and institutional capital.<\/p>\n<p>An investor who gains access before that process begins may be able to negotiate directly with the seller.<\/p>\n<p>The property may still trade at fair market value. But the buyer has had an opportunity that dozens of competitors never received.<\/p>\n<p><strong>In the off-market net lease business, access can be more valuable than a discount.<\/strong><\/p>\n<h2>Why Would a Net Lease Owner Sell Off-Market?<\/h2>\n<p>Owners choose private transactions for reasons that go well beyond price.<\/p>\n<p>Some value confidentiality. Others want certainty of execution. An owner may prefer dealing with one credible buyer rather than preparing an offering memorandum, opening a data room, conducting property tours and evaluating multiple offers.<\/p>\n<p>Timing can also create motivation.<\/p>\n<p>Potential catalysts include:<\/p>\n<ul>\n<li>Loan maturities<\/li>\n<li>Estate and succession planning<\/li>\n<li>Partnership changes<\/li>\n<li>Portfolio rebalancing<\/li>\n<li>Tax considerations<\/li>\n<li>Tenant lease renewals<\/li>\n<li>Upcoming capital requirements<\/li>\n<li>A desire to redeploy capital into another investment<\/li>\n<\/ul>\n<p>None of these circumstances automatically means an owner will sell.<\/p>\n<p>But they can increase the probability that an owner will listen.<\/p>\n<p>That distinction is important. Effective off-market acquisition strategies are not simply about identifying properties. They are about identifying <strong>potential motivation<\/strong>.<\/p>\n<h2>How Do Sophisticated Buyers Identify Off-Market Opportunities?<\/h2>\n<p>The process increasingly starts with data, but data alone is not enough.<\/p>\n<p>Suppose an investor identifies a net lease property that was acquired 15 years ago. The tenant recently exercised a lease extension. The property\u2019s value has appreciated substantially, and the ownership entity has begun selling other properties.<\/p>\n<p>The property is not listed.<\/p>\n<p>But the combination of circumstances may make a conversation worthwhile.<\/p>\n<p>Sophisticated investors and their advisors can evaluate factors such as ownership duration, original purchase price, remaining lease term, tenant credit, renewal activity, financing, portfolio composition and ownership structure.<\/p>\n<p>The goal is not to predict with certainty who will sell.<\/p>\n<p>The goal is to determine <strong>which owners have a higher probability of considering a sale<\/strong> and concentrate outreach accordingly.<\/p>\n<p>Technology has dramatically improved the ability to identify these patterns. Ownership records, sales histories, debt information and property databases can make the net lease universe increasingly transparent.<\/p>\n<p>The competitive advantage comes from interpreting that information correctly.<\/p>\n<h2>Why Are Some Buyers Shown More Off-Market Deals Than Others?<\/h2>\n<p>Off-market opportunities are not distributed equally.<\/p>\n<p>Owners and brokers tend to contact buyers they believe will perform.<\/p>\n<p>That makes reputation particularly important in the off-market market.<\/p>\n<p>A buyer who provides quick feedback, understands market pricing, communicates clear acquisition criteria and has a demonstrated ability to close is more likely to receive calls about quietly available properties.<\/p>\n<p>By contrast, buyers who routinely retrade transactions, make unrealistic offers or cannot articulate what they want make it more difficult for intermediaries to bring them proprietary opportunities.<\/p>\n<p>This is particularly relevant for family offices and private net lease investors.<\/p>\n<p>The more precisely a buyer can define tenant preferences, geography, lease-term requirements, transaction size, return parameters and closing capabilities, the easier it becomes for advisors to identify potential acquisitions.<\/p>\n<p><strong>Being a preferred off-market buyer is not just about having capital. It is about being known as a credible counterparty.<\/strong><\/p>\n<h2>Why Is Off-Market Sourcing Important for 1031 Exchange Buyers?<\/h2>\n<p>The off-market universe can be especially valuable for 1031 exchange buyers because these investors face both time constraints and specific replacement-property requirements.<\/p>\n<p>A buyer may need a property within a defined price range while simultaneously targeting particular tenants, markets, lease structures or minimum remaining lease terms.<\/p>\n<p>Restricting that search to properties formally listed during the exchange period can significantly narrow the opportunity set.<\/p>\n<p>An off-market strategy reverses the process.<\/p>\n<p>Instead of asking which available properties meet the buyer\u2019s criteria, the investor can identify properties that meet the criteria first\u2014and then determine whether the owners would consider selling.<\/p>\n<p>Not every owner will.<\/p>\n<p>But expanding the search beyond publicly marketed inventory can create alternatives that would otherwise never enter the buyer\u2019s pipeline.<\/p>\n<h2>The Net Lease Market Is Larger Than the Listings<\/h2>\n<p>For decades, commercial real estate investors have largely approached acquisitions reactively.<\/p>\n<p>A broker brings out an offering. The investor reviews it. The property either fits the acquisition criteria or it does not.<\/p>\n<p>The growth of property data and more sophisticated ownership intelligence makes another approach increasingly practical.<\/p>\n<p>Start with the properties you would actually want to own.<\/p>\n<p>Identify the tenant, location, lease structure, price range and investment characteristics that fit your strategy.
