Property supply declined 0.7% to 5,754 properties, while the bid-ask spread widened by 3 basis points to 25 basis points. Permanent financing costs now generally exceed net lease cap rates, which is driving a flight to credit quality. Accordingly, buyers are concentrating on the strongest tenants with long-term leases, while assets with shorter lease terms or weaker credit require more effort to sell. In this environment, the choice between a confidential sale and a full marketing campaign carries more weight for owners than it did when cap rates were at historic lows. The right path depends on which combination of price, execution certainty, and privacy matters most for the asset and the owner.

Three Categories of Net Lease Supply

The term “off-market” is used loosely in commercial real estate. The Boulder Group’s August 2026 post, The Off-Market Net Lease Market Is Bigger Than You Think, separated net lease supply into three categories. Fully marketed properties are those where “the owner has made a formal decision to sell. An offering memorandum has typically been prepared, pricing expectations have been established and the property is broadly exposed to prospective buyers.” Quietly marketed properties are those where “the seller intends to transact but has chosen to limit exposure.” Truly off-market properties are those where “the owner has not formally put the property up for sale.” For an owner that has already decided to sell, the decision is between the first two categories (a quiet sale or a wide sale). The third category typically describes an owner that has not yet decided, often because a credible buyer made the first call.

Price, Access and Certainty of Execution

Two assumptions push most owners toward one path or the other, and neither holds up consistently. The first is that an off-market sale means a discount. As noted in the August post, “Off-market does not necessarily mean below market.” Net lease buyers and sellers have access to comparable sales and cap rate data, so price discovery is efficient and a quiet process with the right buyers can achieve full market value. The second assumption is that broad marketing always produces the highest price. However, exposure only adds value when it adds qualified bidders, and for a dark box or a specialty concept an offering sent to thousands of investors mostly generates retrades and added marketing time. On the buyer side, “In the off-market net lease business, access can be more valuable than a discount.” Buyers pay for that access with price, speed and certainty of execution, and the seller’s task is to determine when exclusivity is worth more than competition.

The 7-Factor Off-Market Sale Decision

The 7-Factor Off-Market Sale Decision weighs the facts that most often determine the right sales path for a net lease owner. Each factor pushes the decision toward a quiet sale (a targeted, confidential process) or toward a wide sale (a full marketing campaign). The factors are qualitative and are intended to frame the decision rather than price the asset.

1. Tenant Credit and Category

Commoditized net lease products (corporate QSR, drug stores, dollar stores and convenience stores) have deep buyer pools and readily available sales comparables. When dozens of buyers know how to price a McDonald’s ground lease or a Dollar General, competition is easy to create, and a wide sale is the natural fit. Dark properties, non-rated operators, and specialty concepts require more explanation. For these assets, a direct conversation with buyers who already understand the risk will typically outperform a public campaign.

2. Remaining Lease Term

Lease term drives both value and the size of the buyer pool. As noted in an October 2026 Commercial Property Executive column, QSR properties with 16 to 20 years of remaining term were priced below a 6% cap rate in the third quarter, compared to the mid-7% range or higher for leases with less than five years remaining. Long-term leases attract 1031 exchange buyers and passive private investors in volume, which favors a wide sale. Inversely, short term leases narrow the pool to value-add and repositioning buyers, a group that is best reached directly.

3. Depth of the Buyer Pool

The relevant test is how many buyers would actually close on the asset at a market price. When that number is in the dozens, a full campaign creates real competitive tension. When the realistic list is 5 to 15 names, an advisor who knows those buyers can reach all of them confidentially and broad exposure adds little. For reference, fewer than 10% of available retail net lease properties offer both investment-grade credit and a long-term lease, which is why the deepest buyer pools are concentrated in a small share of the market.

4. Privacy and Sensitivity

Some sales carry consequences beyond price (tenant relations during a renewal discussion, an estate settlement, a partnership dispute, or employees and lenders who should not learn of a sale from a listing site). When confidentiality has real value, that value belongs in the analysis alongside price. High sensitivity will favor a quiet sale even when other factors point to a wide one.

5. Loan Maturity and Refinance Pressure

According to the Mortgage Bankers Association, approximately $875 billion of commercial and multifamily mortgages (roughly 17% of the total) mature in 2026. Many net lease owners financed at far lower rates and now face a choice between refinancing at higher costs, contributing additional equity or selling. A hard deadline makes execution certainty the primary consideration, and a quiet process with a proven, well-capitalized buyer is often the safer path. Owners with a comfortable runway can still pursue a wide campaign for price.

6. Tax Basis and 1031 Timing

A long-held, low basis property usually means the seller is completing a 1031 exchange, and the sale has to align with the replacement property search. Some sellers want a flexible or extended closing in order to secure a replacement first, which a direct negotiation accommodates more easily than a competitive bid process. Owners with no timing constraint and a focus on the highest price will lean toward a wide sale. (Sellers should consult their tax advisor and qualified intermediary. This is not tax advice.)

7. Stigma From a Failed Quiet Round

When a quiet attempt fails and the property then launches publicly, sophisticated buyers will ask what the first group found. The risk is greatest when the quiet round was broad or aggressively priced, and lowest when it was short and limited to a small group of qualified buyers. Accordingly, if a failed quiet round would visibly damage the story of the asset, a wide sale from the start is the better choice.

Scoring the Seven Factors

Each factor is scored -1 (favors quiet), 0 (neutral) or +1 (favors wide), and the total suggests a starting point for the sales process.

Total score

Suggested path

+3 to +7

Full marketing campaign. Competition is the value driver.

-2 to +2

Hybrid. A short, targeted quiet round with a defined deadline, followed by a full launch if needed.

-3 to -7

Quiet/confidential process. Privacy, certainty of execution or a narrow buyer pool matters more than reach.

The score is a starting point for discussion, not a formula. A single factor can override the total (i.e. an estate that requires absolute confidentiality or a loan maturing in 60 days). A hybrid result reflects an asset where some buyers will pay for exclusivity while others will only emerge through competition.

Typical Starting Position by Asset Profile

The table below reflects the typical starting position by asset profile based on current buyer behavior. It is a directional guide rather than a pricing table, and the factor scores for an individual asset will govern the final decision.

Asset profile

Typical lean

Why

Corporate QSR, long term lease (McDonald’s, Chick-fil-A)

Wide

Deep buyer pool and abundant comparables; competition drives price

Drug store, dollar store or convenience store, long term lease (Dollar General, 7-Eleven, Wawa)

Wide, unless privacy factors apply

Commoditized product with active 1031 exchange demand

Same tenants, short remaining term

Hybrid

Narrower buyer pool; value-add buyers reached first

Dark, non-rated or specialty tenant

Quiet

Few qualified buyers; public exposure invites low bids

Multi-property portfolio

Quiet (often)

Small and known buyer universe for the full package

Seller facing a 1031 or loan deadline

Depends

Factors 5 and 6 decide; certainty of execution may outweigh reach

Running a Hybrid Process

For many owners, the best result comes from a sequence of a targeted quiet round followed by a full launch if needed. A hybrid captures any buyer willing to pay a premium for exclusivity without giving up the option of full competition, provided the quiet round does not create the stigma described in Factor 7. The quiet list should be limited to buyers with demonstrated closing ability. As noted in the August post, a property emailed to 5,000 investors is hard to call off-market. Additionally, the quiet round should carry a firm decision date, pricing consistent with what the owner would ask publicly, NDAs with a record of who received information, and walk-away terms set in advance. An inflated quiet price that later drops is what creates the “tested” story with buyers.

Frequently Asked Questions

Should a net lease owner sell off-market or market the property widely?

The decision depends on the asset and the objectives of the owner. A full marketing campaign typically produces the best result for long term leases to credit tenants with deep buyer pools, such as corporate QSR, drug stores, dollar stores and convenience stores. A quiet, confidential process is typically stronger for dark, non-rated or specialty assets, portfolios and sellers facing a loan maturity, estate or other situation where privacy or certainty of execution outweighs reach. The 7-Factor Off-Market Sale Decision scores tenant credit, remaining lease term, buyer depth, privacy, loan maturity, 1031 timing and stigma risk to determine the starting point.

Do off-market sales achieve lower prices?

An off-market sale is not inherently priced lower. Pricing information in the net lease sector is transparent, and qualified buyers will often pay full value for access and certainty of execution. Underpricing typically comes from a poor process (too few buyers or unrealistic terms) rather than from confidentiality.

When does broad marketing clearly win?

Broad marketing wins when the asset has a deep buyer pool, a long term lease to a credit tenant and no meaningful privacy or timing constraint. For a McDonald’s or 7-Eleven with a long term lease, competition among many qualified buyers is the most reliable way to reach the top of the market.

How many buyers is enough?

Enough means every buyer is realistically able to pay the top price and close. For a specialty or portfolio asset, that may be a handful of well-chosen names. For a long term QSR or drug store, the buyer pool is deep enough that limiting exposure risks leaving the best bidder out.

How does a loan maturity or an estate change the decision?

Both raise the value of certainty, and estates add the value of discretion. A loan deadline favors buyers with proven capital and a credible closing schedule, which often points to a targeted process. Owners in either situation should involve their lender, attorney, and tax advisor early.

What is the risk of a quiet round followed by a public listing?

Buyers may assume the first group found a problem with the asset. The risk is manageable when the quiet round is short, realistically priced and documented. It becomes a real problem when a “quiet” process reached half the market at an above-market price.

Outlook for Net Lease Sellers

The expectation is that the flight to credit quality will continue as long as permanent financing costs exceed net lease cap rates. Accordingly, owners of long term leases to investment grade tenants will continue to benefit from competitive marketing campaigns, while owners of short term, non-rated or dark assets will find more value in targeted processes with buyers who can close. Loan maturities through the remainder of 2026 will add motivated sellers to the market, and certainty of execution will carry a premium for those owners. Investors will be carefully monitoring the Federal Reserve following its September rate increase to a target range of 3.75% to 4.00%. Most market participants believe the bid-ask spread will remain wide until borrowing costs ease, which will keep the disposition strategy for each asset as important as its pricing.

About the Author

Randy Blankstein is Founder and President of The Boulder Group, a net lease advisory firm he established in 1997 that specializes in single-tenant net lease properties.
